Terms & Conditions

These Terms & Conditions ("Terms") govern the use of services provided by HS Digitals ("we", "us", "our"), a business operated from the United Kingdom, serving clients in the UK, UAE and wider Gulf region. By engaging our services, booking a demo, or starting a trial, you ("the Client") agree to these Terms.
1. Services
HS Digitals designs, builds and operates AI-powered sales and customer-communication assistants ("the Service"), including website chat assistants, WhatsApp integrations, lead capture, notification systems and related automation. The precise scope of each engagement is confirmed in writing (email is sufficient) before work begins.
2. Free Trial
- Trials run for 30 days from the date your AI assistant goes live, unless agreed otherwise in writing.
- No payment details are required to start a trial.
- At the end of the trial, the Service continues only if you subscribe to a paid plan. If you choose not to continue, the Service is switched off and no charge is made.
- We may decline or end a trial at our discretion (for example, misuse or provision of false information).
3. Fees & Payment
- Subscription fees are charged monthly in advance at the rate of your selected plan, as published on our website or agreed in writing.
- A one-time setup & integration fee of AED 4,700 (£999) applies. Under our founding-client offer (first 5 clients), this is reduced by 50% to AED 2,350 (£499), payable upfront on signing to secure the build slot. The setup fee is non-refundable once build work has commenced.
- Prices may be quoted in AED or GBP; invoicing currency is agreed at sign-up. Published AED prices are indicative conversions of GBP prices.
- Late payment beyond 14 days may result in suspension of the Service. Message-volume costs from third-party providers (e.g. WhatsApp/Meta conversation fees) beyond agreed fair-use levels may be passed through at cost, notified in advance.
4. Term & Cancellation
- Subscriptions are monthly rolling contracts unless agreed otherwise.
- You may cancel at any time with 14 days' written notice; cancellation takes effect at the end of the current billing period. No refunds are given for partial months.
- You may upgrade or downgrade plans at any time; changes apply from the next billing period.
- We may terminate the agreement with 30 days' notice, or immediately in the case of non-payment or material breach.
5. Client Responsibilities
- Provide accurate business information for configuring the AI assistant, and review its behaviour during onboarding.
- Ensure you have the right to use any phone numbers, accounts, content and data you provide to us.
- Comply with applicable laws in your jurisdiction, including consumer-protection and messaging regulations, when following up with leads.
- WhatsApp production numbers require Meta business verification of YOUR business; we manage the process, but approval rests with Meta and its timelines are outside our control.
6. AI-Generated Content
The Service uses artificial intelligence to generate conversational responses. While we configure, test and monitor each assistant carefully, AI output is probabilistic and we cannot guarantee that every individual response will be accurate, complete or appropriate. The Service is a lead-capture and communication tool; it does not provide professional, legal, medical or financial advice, and its output should not be relied on as such. You remain responsible for the human follow-up on captured leads.
7. Third-Party Services
The Service depends on third-party platforms including (without limitation) OpenAI, Meta/WhatsApp, Twilio, Make and Google. We are not liable for outages, changes or restrictions imposed by these providers, though we will use reasonable efforts to restore the Service promptly and, where practical, propose alternatives.
8. Intellectual Property
We retain all rights in our know-how, system designs, prompt engineering and automation architecture. You retain all rights in your business data, brand assets and captured leads. On termination, you keep your lead data (Google Sheets and emails already delivered to you); system configurations remain our property.
9. Liability
To the maximum extent permitted by law: our total aggregate liability arising from or in connection with the Service is limited to the fees paid by you in the three (3) months preceding the claim; and we are not liable for indirect or consequential losses, including lost profits, lost deals or loss of business opportunity. Nothing in these Terms limits liability that cannot lawfully be limited.
10. Confidentiality & Data
Each party will keep the other's confidential information confidential. Our handling of personal data is described in our Privacy Policy. Where required, we will enter into a data processing agreement with you.
11. General
- These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
- We may update these Terms from time to time; material changes will be notified to active clients by email at least 14 days before taking effect.
- If any provision is found unenforceable, the remainder continues in force.
